Fundamentals of a Private Placement (2008)

One of the most often occurring financial transactions for the business lawyer is the private placement. How you structure and do a private placement can have great economic consequences for the issuer and investors. This traditionally popular, basic-to-intermediate level program discusses the fundamentals of structuring and doing private placements. The expert speakers discuss the federal and state regulatory scheme for private placements, including the Section 4(2) exemption, an overview of Regulation D and the “blue-sky” laws. The speakers also review the interplay between federal and state regulation. Topics discussed include the necessary elements for a valid private placement, the information and financial statements required, the manner of making the offering, restrictions on reselling the securities acquired and the documents typically prepared in a private placement.
