Fundamentals of a Private Placement (2008)
One of the most often occurring financial transactions for the
business lawyer is the private placement. How you structure and do a
private placement can have great economic consequences for the issuer
and investors. This traditionally popular, basic-to-intermediate level
program discusses the fundamentals of structuring and doing private
placements. The expert speakers discuss the federal and state regulatory
scheme for private placements, including the Section 4(2) exemption, an
overview of Regulation D and the “blue-sky” laws. The
