Basic Securities Law for the Business Practitioner (2009)

Attorneys involved or about to become involved in the general practice of business and corporate law must frequently advise their clients about matters that may be subject to federal and state securities laws and regulations. These attorneys, although not securities law specialists, must be generally familiar with the statutes, rules and regulations of securities law to service the needs and answer the questions of their corporate clients.
This traditionally popular program presents a broad overview of, and the latest developments in, securities law and is designed to give a basic understanding of key securities law concepts for the general practitioner or new lawyer. The expert faculty provides timely highlights of critical and quickly developing securities law and practice issues confronted by corporate and securities law attorneys in their day-to-day practices, against the backdrop of today’s financial challenges. The program also includes a discussion of public offerings, private placements, the requirements and obligations of the public company, corporate governance and corporate compliance issues, including the lawyer’s role, and the impact of owning a publicly held company on the controlling shareholders.
Of special note is that the program also features a panel discussion among representatives of various investment banking firms and underwriters active in the capital markets to provide an understanding of how to obtain financing in difficult times. The panel also discusses private financing alternatives when public offerings are not available.
