Revised Article 9 of
the Uniform Commercial Code, designed to modernize and to create a more
straightforward approach to the law of secured transactions, has been
adopted in New York and all other states. Revised Article 9
significantly expanded the scope of collateral and transactions covered,
simplified the process of perfecting security interests, provided
clearer rules for foreclosure sales of collateral, and modernized
secured transactions by addressing intangible property and adapting to
modern electronic methods of business. Revisions of the General
Provisions of the UCC Article 1 have now been introduced. These
are also designed to modernize this Article and to complement or to
clarify other Articles in the Uniform Commercial Code, including Revised
Article 9. Revised Article 1 has so far been adopted in a
handful of states, and the territory of the U.S. Virgin Islands, and has
been proposed for adoption in other states.
This important seminar
focuses on significant changes in the law of secured transactions
wrought by Revised Article 9 and the specific revisions to Article 1
that have been approved by the National Conference of Commissioners on
Uniform State Laws. This half-day course is given by practitioners
and academics with extensive expertise and involvement with Articles 9
and 1 of the Uniform Commercial Code.
Given the fact that Article
1 is critical as it applies to all transactions covered by the UCC and
the broad applicability and scope of Revised Article 9, virtually all
commercial lawyers could be handling transactions governed or affected
by the new laws.
