In this mini-refresher course, Vincent R. Martorana bridges the gap between law school theory and legal practice by reviewing some of the fundamental concepts in contract drafting which many attorneys fail to consider. Areas covered include: Preliminary Matters; the Framework of a Contract, including preamble, recitals and lead-in; the Body of a Contract, including definitions, language of performance, obligations and prohibitions, discretionary language, language of declaration, and acknowledgements; Language of Policy; and Signature Pages. The course includes written materials in easy to use electronic PDF format which can be downloaded to your computer for easy reference. About the Speaker: Vincent R. Martorana is Counsel in the New York Corporate & Securities Group of Reed Smith. His practice includes the representation of clients in domestic and cross-border mergers, stock and asset acquisitions and divestitures, joint ventures, strategic alliances, licensing arrangements, corporate restructuring, private equity investments and security offerings. He has represented a wide range of clients—from start up and early state companies to well-established enterprises—in various industries, including technology, healthcare, pharmaceutical products, consumer products and energy. Mr. Martorana has extensive experience in providing advice on contract drafting, analysis and interpretation relating to disputes, settlements and negotiated transactions. He has presented his CLE contract drafting courses for in-house legal departments and other venues, including: Practising Law Institute, the American Bar Association, The New York State Bar Association, City Bar, and the New York County Lawyers Association.
