Advising Nonprofits about Corporate Governance and Compliance

Many attorneys would like to assist their favorite charity but they don’t know how.  Or they may already be serving on the board of a nonprofit but they are not clear about their roles and responsibilities.  This training session will empower lawyers to initiate and strengthen their relationships with charities.  The program is of particular interest to lawyers with corporate or transactional background, or any counsel who are involved with nonprofits in their professional or community activities.  It is hoped that attendees will use the information to launch or enhance their engagement with a needy nonprofit in New York.  Of the state's 80,000 charities, some 60,000 or more lack regular access to counsel.  The needs are great and the causes are important.  See how modern hallmarks of good corporate governance - conducting effective board meetings, complying with state and federal filing requirements to assure transparency and public accountability, maintaining the organization's tax exempt status, adhering to fundraising laws, and overseeing executive compensation  - are helping nonprofits better realize their mission to do the public good.  Learn how familiar corporate law concepts such as fiduciary duties of care, loyalty and obedience, document management policies, board independence, managing conflicts of interest, and whistleblower policies, translate into the nonprofit context.  Understand the differences between serving as counsel to an organization and serving as a board member who is a lawyer. 

This program is the launch event of Charity Corps:  Lawyers Helping Nonprofits, a new joint initiative between the NYS Bar Association and the State Attorney General’s Office.  All attendees will receive a copy of Lesley Rosenthal’s Good Counsel:  Meeting the Legal Needs of Nonprofits (John Wiley & Sons 2012), an $80 value, as part of the $130 registration fee.

Advising Micro-Entrepreneurs

Counseling the Small Nonprofit Organization

Counsel for an existing nonprofit organization must be aware of the wide variety of legal and business compliance obligations confronted by its clients. This program will cover the essentials of counseling the small to medium-sized nonprofit organization, including: good governance best practices; fiduciary duties of the board of directors; annual reporting to the IRS and the Charities Bureau; and legally-compliant fundraising. In addition, participants will learn to use a nonprofit compliance checklist, a tool that helps nonprofits and their attorneys to keep track of the sometimes bewildering range of nonprofit organization compliance obligations.

This seminar is well-suited to anyone who has completed the Not-for-Profit Incorporation CLE or who has equivalent experience.

Employment Law for Nonprofits and Small Businesses

This seminar provides an overview of best practices in employment law for counsel representing nonprofit organizations and low-income small businesses. These nonprofits and small businesses must adopt employment policies that are fair, understood by all employees, and that minimize disputes and litigation Topics covered will include: hiring and termination; employee evaluation and discipline; the proper classification of employees and independent contractors; wage and hour laws; and exempt versus nonexempt employees. Special issues involving nonprofit organizations will also be examined, including the proper use of volunteers and the payment of stipends.
